HAVEN MEASURE LIMITED — BUSINESS SERVICE TERMS

HML Service Terms 1.0 — 8 October 2026

Read with the specific services, scope, price and delivery arrangements stated in your Order.

1. Who we are and who this service is for

Haven Measure Limited (HML), company number 16382014, is registered in England and Wales. Our registered office is 82 Oswald Road, Scunthorpe, DN15 7PA. Contact enquiries@havenmeasure.com about orders and support@havenmeasure.com about an existing service.

Our standard online services are for clients buying wholly for their business. The person accepting an order must be authorised to act for the named business. This route is not for personal or domestic purchases. A business declaration does not remove rights that the law says apply.

2. Your order and our agreement

We check suitability, conflicts, competence, professional cover, scope and capacity before issuing a private offer. The offer records the business client, specific work, inputs, exclusions, deliverables, fee, delivery arrangements and terms version. These service terms and the specific offer together form the Order. The specific Order takes priority where it expressly varies these terms.

You can ask us to correct the Order before agreeing. Before proceeding to checkout, receiving payment instructions or making payment, the authorised customer must have access to the complete Order and service terms and actively confirm that they have read, accept and agree to them, for the services stated in that Order. Online acceptance requires an unticked agreement box to be selected; silence, an enquiry or payment alone is not a substitute. The contract is formed when you actively accept the Order and we record and acknowledge that acceptance. The acceptance record includes the authorised person's name and role, date and time, the agreement wording, and the exact Order and terms version. We provide a copy that you can save or print. Neither a public price nor an initial enquiry alone creates an engagement.

3. What we will do

We will carry out the agreed quantity surveying work with reasonable skill and care, within the defined scope and on the stated information basis. Your Order must explain the exact problem being reviewed or task being performed and what you will receive.

A review identifies relevant findings, gaps and practical next steps within its review rules. It does not include every possible investigation or implementation of every proposed solution. A separate fix, revised payment application, corrected report, notice draft or other output is included only if your Order expressly says so. We will quote separately for additional work before undertaking it. A correction already owed within the original service is not sold back to you as extra work.

4. Information, site work and authority

You must provide the agreed records, necessary context and authority to share them. You remain responsible for the accuracy and completeness of your source records. We will explain material missing information or limitations that we identify in performing the agreed work.

Remote work is based on the supplied evidence. A site visit, physical verification, measurement on site or interview is included only if expressly stated in the Order. Where a conclusion needs information we do not have, we will identify that limitation and explain the next step.

We do not become a contract administrator, certifier, authorised issuing party, adjudicator, arbitrator or expert witness merely by accepting QS work. Any such appointment requires a separate express written agreement and appropriate checks. We do not provide legal or tax advice under these standard service terms.

5. Delivery dates and urgent work

Your Order states the delivery period or deadline, its time zone, the information needed and any date by which that information must be accepted. Payment alone does not start the delivery period. We confirm in writing when the complete agreed information pack is accepted and state the delivery start and expected return date.

Priority and Urgent delivery are offered only where we have confirmed a suitable slot. If information arrives late, is incomplete or materially changes, we will explain the effect and agree a revised timetable before continuing affected work. We do not silently reset an agreed deadline. If delay arises on our side, we will notify you promptly and explain the proposed remedy. You may request cancellation of uncompleted work and a refund for the unperformed part, without limiting other rights that apply.

Tell us about any contractual, statutory, tender or payment deadline before ordering. Unless expressly included in the Order, you retain responsibility for monitoring and meeting those deadlines and issuing notices or instructions through the required channels. Do not assume that placing an order protects a deadline.

6. Price, payment and receipts

Your Order states the total fee in GBP, or another expressly agreed currency. Standard online fixed-price work is payable in full before work starts, by bank transfer using the details and reference on your private invoice. Haven Measure Limited is not currently VAT registered; VAT is not charged. The tax treatment of an international engagement must be confirmed before acceptance. A future tax-status change will be dealt with as required by law and explained to you; it does not silently rewrite an issued accounting record.

An eligible fix arising directly from a completed Haven review receives 5% off our standard fee for that fix after eligibility is verified. The review itself, unrelated work and third-party charges are excluded. Priority adds 25% and Urgent adds 50% to the fee after any eligible discount. These additions apply only when expressly selected, included in the Order and accepted.

We confirm payment against cleared funds actually received. A transfer screenshot or remittance advice alone is not confirmation. We provide a numbered invoice and, after verification, a payment receipt, retaining a matching copy for our records. Any partial payment, duplicate payment, overpayment or payment mismatch must be reconciled before we confirm the Order as fully paid or release project access.

7. Changes to the work

Extra documents, new issues, different outputs or additional rounds of work may require a revised scope, price or timetable. We will explain the change and obtain your written agreement before charging for or carrying out additional work. The original Order remains the record of what was originally agreed. Neither party can unilaterally expand the other's obligations by sending additional material.

8. Cancellation, pauses and refunds

Tell us in writing if you need to cancel or pause an Order. If we receive your cancellation before any agreed service work has commenced, we will give a full refund of all sums paid under that Order. If you cancel for your own convenience after that work has commenced, the agreed service fee is non-refundable, including the fee attributable to unfinished work, except to the extent a refund is required by applicable law or expressly preserved below. This cancellation condition applies only to the extent legally enforceable.

Work commences when HML actually begins performing an agreed service task for the Order after the written start confirmation described in section 5, or after a separate written agreement to start an identified task earlier. Booking a slot, accepting payment or issuing an invoice alone does not count as commencement. HML will record when the first agreed task begins. Pauses and any restart date must be agreed in writing.

The restriction on refunds for customer cancellation does not apply to the delay remedy in section 5, HML ending the service as described below, duplicate or excess payments, or any refund or other remedy for HML's breach that cannot lawfully be excluded. It does not remove HML's correction obligations under section 11.

We may decline further work or pause affected work where information, authority, payment, safety, confidentiality, competence, professional cover or a material conflict prevents proper performance. We will explain the position where we can lawfully do so, identify what is needed to continue, and address any unused fee fairly. If we end the service without completing it, fees for the unperformed part will be refunded, subject to any lawful agreed charge for work already completed. These provisions do not remove rights or remedies that cannot lawfully be excluded.

9. Confidentiality and personal information

Each party will protect confidential information obtained for the engagement and use it only for the agreed work and legitimate associated administration, except where disclosure is authorised, already lawful and public, required by law, or reasonably necessary to professional advisers or insurers under appropriate duties.

Use the agreed private transfer route for project records. Do not share your private access link with unauthorised people. Send only information relevant to the agreed work and remove unnecessary personal or sensitive information where possible. Our privacy notice explains how business contact, billing, acceptance and project records are handled. Agree any additional data-processing obligations before supplying information that requires them. We will not add you to marketing merely because you accept an Order.

10. Using our work and relying on it

Once the agreed fee is paid, you may use the agreed deliverables for the purpose and project specified in the Order. You may share them with the project parties and professional advisers identified or permitted by the Order, while retaining the qualifications and information basis in full. Sharing does not itself give a third party a right to rely on our work or create a duty to that party. Any third-party reliance must be expressly agreed in writing.

Our pre-existing methods, templates and other materials remain ours or our licensors'. You retain ownership of your records. Neither party may misuse the other's confidential information or intellectual property. We do not guarantee a payment, recovery, saving, settlement, acceptance by another party or other commercial outcome.

11. Concerns and corrections

You must check each deliverable promptly on receipt and, before relying on it, submitting it or issuing it to another party, check that the project details, source information, quantities, figures, assumptions and intended use are consistent with your records and the agreed Order. Tell HML promptly in writing about any apparent error, omission, inconsistency or missing information, identifying the affected item and supplying relevant records. Do not use or issue an affected item until the point has been clarified; tell us immediately if a deadline is approaching. Unless the Order expressly appoints HML to do so, you remain responsible for authorising and issuing documents through the required project channels.

These checks do not require you to repeat HML's specialist professional work and do not transfer responsibility for an error HML was engaged to identify and should have identified through reasonable skill and care. Receipt, payment, use or a failure to raise a concern does not by itself deem defective work accepted or waive a right that cannot lawfully be excluded. Any failure to carry out your checks is relevant only to the extent it causes or increases a loss for which HML is not legally responsible.

If you believe a deliverable contains an error or does not match the Order, tell support@havenmeasure.com promptly, identifying the point and relevant evidence. We will investigate and propose an appropriate correction or other remedy where our work falls short of the agreed service. Any included factual-correction process and number of revision rounds must be stated in the Order. A disagreement about our advice does not by itself establish an error, but it will be considered fairly. This process does not remove applicable legal rights or professional duties.

12. Responsibility, liability limits and professional indemnity

12.1 Liabilities that cannot be excluded

Nothing in the Order excludes or limits HML's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability to the extent that its exclusion or limitation is prohibited by applicable law. The exclusions, threshold and cap below are all subject to this paragraph and any applicable statutory requirement of reasonableness or fairness. They do not replace HML's obligation to perform the agreed service with reasonable skill and care.

12.2 Negligence threshold

Subject to paragraph 12.1, HML excludes liability for loss or damage caused by negligence unless the conduct amounts to gross negligence or wilful misconduct. For this Order, gross negligence means a very serious departure from the standard of a reasonably competent professional carrying out the agreed services, demonstrating reckless disregard for an obvious risk of material harm. This definition applies for the purposes of this Order. The restriction applies only so far as it is lawful and satisfies any applicable test of reasonableness or fairness; where it cannot validly apply, the applicable legal standard governs. Any separately enforceable limitation in this section remains subject to paragraph 12.1.

12.3 Aggregate monetary cap

Subject to paragraphs 12.1 and 12.6, HML's total aggregate liability for all claims arising out of or in connection with the relevant Order, whether in contract, tort (including negligence or gross negligence), breach of statutory duty, non-fraudulent misrepresentation or otherwise, shall not exceed the lesser of (a) 100% of the fees charged by HML under that Order and (b) £1,000.00. This is one total cap for the Order, not a separate allowance for each claim, alleged breach, deliverable or claimant. Fees means HML's agreed charges for its services under the relevant Order, whether paid or still payable, including any agreed Priority or Urgent addition and after any discount, but excluding VAT and separately identified third-party charges. A refund made after a claim arises does not retrospectively reduce the fee figure used for that claim. No cap applies to a liability protected by paragraph 12.1, and the cap otherwise applies only to the extent it is legally enforceable.

12.4 Indirect loss and losses caused by others

Subject to paragraph 12.1, HML is not liable for indirect or consequential loss. HML is not responsible for loss to the extent caused by inaccurate or incomplete information supplied by others, unauthorised alteration or use of its deliverables, use outside the agreed purpose, or failure to act on a clearly identified limitation or action, except to the extent HML itself is legally responsible for that loss. This does not transfer to the client responsibility for an error HML was engaged to identify and should have identified through the agreed standard of care.

12.5 Fair allocation where others are responsible

Subject to paragraph 12.1, where HML and another person are responsible for the same loss, HML's liability is limited to the fair and reasonable share attributable to HML's own responsibility. The client must take reasonable steps to avoid or reduce loss and must not recover more than once for the same loss. Any further financial limit applies only if enforceable.

12.6 Corrections and agreed refunds

The damages cap and negligence restriction do not reduce a refund of fees expressly due under sections 5 or 8, the return of a duplicate or excess payment, or HML's obligation to provide an agreed correction or other remedy that cannot lawfully be excluded. An agreed refund is not reduced by the damages cap. No term permits HML to charge again for a correction already owed within the agreed service.

12.7 Professional indemnity assessed for the work

Before accepting an Order, HML assesses the professional indemnity cover needed by reference to the value, nature and scope of the work, the project value where relevant, foreseeable exposure and the location and jurisdiction of the services. The cover applicable to the instruction must be confirmed in writing against HML's actual policy before acceptance, including relevant limits, territorial restrictions and any required project endorsement. Any higher or project-specific cover is subject to insurer acceptance, availability and any agreed adjustment to the service fee; it is not automatically included merely because a project has a particular value. Any applicable mandatory insurance requirement must still be met.

Professional indemnity insurance protects HML subject to the insurer's policy terms, exclusions, excesses and claims conditions. It is not a separate insurance product supplied to the client, a guarantee of recovery, a ring-fenced fund for the Order, or an automatic increase in HML's contractual liability cap. A different contractual cap requires an express written variation agreed before acceptance. No policy limit or cover is represented as existing unless confirmed in writing.

12.8 Access, agreement and enforceability

The complete service terms must be available to the client before acceptance in a form that can be saved or printed. The authorised client must actively confirm that they have read, accept and agree to the Terms and Conditions for the services stated in the Order. Any notice or prominence required by applicable law must still be provided. Any proposed alternative scope, liability allocation, fee or insurance arrangement must be discussed and recorded before the Order is accepted. Agreement alone does not establish that a restriction is lawful or reasonable. Each restriction is intended to operate separately, but an unenforceable provision may be disregarded and the others survive only to the extent allowed by law. These terms do not guarantee that a court will substitute a different or higher enforceable cap.

13. International work and disagreements

An international instruction is accepted only after the Order identifies the project location, applicable contract requirements, working language, time zone, currency, any necessary local input and our ability and professional cover to do the work. Availability of the website does not mean every service can be supplied in every country.

Unless a different position is expressly agreed following the necessary checks, the contract is governed by the law of England and Wales and disputes are subject to its courts, without overriding mandatory laws or any statutory dispute-resolution rights that apply. Please first raise a concern with us in writing so that we can try to resolve it promptly. Neither these terms nor an informal discussion prevents a party taking action needed to preserve a legal right or meet a deadline.

14. Keeping the agreement clear

Notices and instructions for this service are given through the email addresses and authorised contacts in the Order. Changes to an accepted Order need written agreement. A later website update does not replace the terms version already agreed for that Order. A separate signed appointment may be required for site-based, ongoing, agency or specially regulated work; these fixed-price terms do not replace it.
